Service Agreement and Contract for InkBar by Fabrico.

These terms govern bookings for InkBar by Fabrico's tote painting and customizing experience and are intended to reflect the service agreement applicable to confirmed events in the Philippines.

Tote Painting & Customizing Experience

Republic of the Philippines

This Service Agreement and Contract (the Agreement) is entered into by and between the following parties:

  • Service Provider: InkBar by Fabrico, a duly operating creative event service business in the Philippines (InkBar).
  • Client: The individual or entity identified in the Booking Details (Annex A) below (Client).

InkBar provides DIY tote bag and coin purse painting and customizing setups for birthdays, weddings, company events, school fairs, and other celebrations. By proceeding with a booking and payment, the Client agrees to the terms below.

1. Scope of Services

InkBar shall provide a DIY tote bag and/or coin purse painting and customizing experience for the Client's event based on the confirmed package and inclusions set out in Annex A.

  • Only the purchased package items and quantities confirmed in Annex A shall be provided.
  • InkBar shall supply tote bags and/or coin purses strictly based on the agreed quantity, regardless of the actual number of guests who attend the event.
  • InkBar shall not be responsible for shortages if the actual guest count exceeds the purchased quantity.
  • Additional items or services beyond the agreed package may be accommodated subject to availability and corresponding additional charges.
  • Because the activity is personalized and handmade by guests, InkBar does not guarantee specific paint colors, fabric texture, design outcomes, or uniformity of finished products.
  • Minor variations in materials or setup may occur depending on availability and event conditions and shall not be grounds for refund or dispute.
  • All remaining paid tote bags or coin purses not claimed during the event shall be released to the Client after the event.

2. Booking and Reservation

  • A booking shall be considered tentative upon submission of the booking request form.
  • InkBar shall review the preferred event date and confirm availability.
  • InkBar reserves the right to accept or decline any booking based on schedule and operational capacity.

Important: This Agreement shall be deemed invalid and of no legal effect if signed without corresponding proof of the 50% downpayment.

  • Proof of payment must include a transaction reference number or screenshot clearly showing the sender, amount, and date.
  • Proof of payment must be submitted within twenty-four (24) hours of signing through one of the following: physical attachment to the signed Agreement, email to InkBar's official email address, or message to InkBar's official Facebook page.
  • A booking is only considered confirmed and secured upon InkBar's actual receipt and verification of the downpayment.
  • Failure to submit proof within twenty-four (24) hours renders this Agreement void and releases the reserved date.

3. Payment Terms

  • Failure to complete the remaining balance within the prescribed period shall constitute a material breach of this Agreement and may result in cancellation of the booking.
  • InkBar reserves the right to release the reserved schedule to other clients in such an event.
  • No setup or service shall be commenced until full payment has been received and confirmed.
  • A late payment fee may be imposed as determined by InkBar for balances not settled within the agreed period.
  • Services may be withheld until all payment obligations are fulfilled.

4. Cancellation and Refund Policy

The fifty percent (50%) downpayment is strictly non-refundable once the booking has been confirmed, except under the following conditions:

  • Unexpected emergency or serious illness of the celebrant or the Client (the contracting party/payor), supported by valid documentation such as a medical certificate or hospital record.
  • Natural calamities or severe weather events such as typhoons, floods, or earthquakes that prevent the event from proceeding, as declared or confirmed by relevant Philippine government authorities.
  • All refund requests must be submitted in writing with valid proof or supporting documents within forty-eight (48) hours of the cancelled event date.
  • InkBar shall render a decision on refund requests within five (5) business days of receiving complete documentation.
  • Approved refunds shall be processed and released within fourteen (14) calendar days from the date of approval, in accordance with applicable Philippine laws on consumer protection.
  • Cancellations made within seven (7) calendar days of the event date shall not be eligible for a refund under any circumstance, as InkBar would have already incurred preparation costs.

5. Rescheduling and Event Changes

Rescheduling requests shall only be considered under the following circumstances:

  • Unexpected emergency or serious illness of the celebrant or the Client, supported by valid documentation.
  • Natural calamities or severe weather events as recognized by Philippine authorities.
  • All rescheduling requests must be accompanied by valid proof or documentation.
  • All requests shall remain subject to InkBar's availability on the requested new date.
  • InkBar does not guarantee availability for alternative dates.
  • If rescheduling is not possible due to unavailability, the standard cancellation policy under Section 4 shall apply.

6. Event Duration and Overtime

InkBar's service shall be rendered strictly within the event duration agreed upon and specified in Annex A. Setup and teardown time are not included in the agreed service hours unless otherwise stated in Annex A.

  • InkBar shall notify the Client's designated on-site contact approximately fifteen (15) minutes before the agreed end time.
  • If the Client wishes to extend, such request must be confirmed at that time.
  • Continued service by InkBar after the agreed end time, whether explicitly requested or implicitly allowed by the Client, shall constitute acceptance of overtime charges.
  • Overtime shall be charged at Five Hundred Pesos (PHP 500.00) per hour or fraction thereof, unless a different rate is agreed upon in writing by both parties before the event.
  • Overtime services remain subject to the availability of InkBar's staff.
  • Overtime must be approved and confirmed by an authorized InkBar representative during the event.

7. Client Responsibilities

The Client agrees to provide all conditions reasonably necessary for the successful execution of InkBar's services.

  • The Client must designate an on-site contact person who will be present throughout the event and serve as InkBar's primary point of communication during the event.
  • The contact person's name and mobile number must be provided to InkBar no later than two (2) days before the event date.
  • Sufficient and adequate space for InkBar's setup, equipment, and guest interaction activities must be provided.
  • A stable and accessible electricity or power source must be available. InkBar's equipment operates at a maximum of 1,500 watts at 220 volts (220V), and the Client must ensure that a standard 220V outlet with sufficient load capacity is accessible at the venue.
  • A safe, accessible, and well-lit area for InkBar's setup and operations must be provided.

InkBar shall not be liable for delays, service limitations, or failure to perform arising from the Client's failure to provide the above requirements or from unsafe event conditions.

8. Damage and Liability

  • The Client accepts full responsibility for any damage caused to InkBar's equipment, materials, or setup during the event, whether caused by the Client, the celebrant, guests, or other third parties present at the event.
  • InkBar shall conduct a visual check of its equipment upon arrival (check-in) and upon departure (check-out).
  • Any damage discovered at check-out that was not present at check-in shall be attributable to the event.
  • InkBar shall notify the Client of any damage claims within twenty-four (24) hours after the event.
  • The cost of repair or replacement shall be assessed by InkBar and must be settled by the Client within seven (7) calendar days of receiving the damage notice.

9. Force Majeure

Neither party shall be held liable for failure or delay in performing obligations under this Agreement due to events beyond reasonable control, including but not limited to:

  • Natural disasters such as typhoons, floods, and earthquakes.
  • Government-imposed restrictions or emergencies declared under Philippine law.
  • Power outages or transportation disruptions.
  • Other unforeseen events rendering performance impossible or unsafe.

In such cases, InkBar reserves the right to reschedule or cancel the booked service without liability, subject to review of refund eligibility under Section 4.

10. InkBar-Initiated Cancellation

If InkBar must cancel a confirmed booking for reasons other than those covered under Section 9, such as operational emergencies, staff unavailability, or scheduling conflicts attributable to InkBar, the following shall apply:

  • InkBar shall notify the Client in writing as soon as practicable.
  • InkBar shall provide a full refund of all amounts paid by the Client within fourteen (14) calendar days of the cancellation notice.
  • InkBar's liability shall be limited to the full refund of amounts paid and shall not extend to indirect, consequential, or incidental losses incurred by the Client.

11. Limitation of Liability

InkBar's liability under this Agreement shall be limited solely to the value of services paid for. InkBar shall not be held liable for any indirect, incidental, consequential, or special damages arising from the use or non-use of its services, to the extent permitted by Philippine law.

12. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the Republic of the Philippines, including the Civil Code of the Philippines, the Consumer Act of the Philippines, and other applicable laws and regulations.

  • Any dispute arising from this Agreement shall first be referred to amicable settlement between the parties.
  • If no resolution is reached within thirty (30) days, the dispute shall be submitted to the appropriate courts of the Philippines with jurisdiction over the matter.

13. No-Show and Client Non-Appearance

  • If InkBar's team arrives at the agreed venue at the agreed time and the event has been cancelled, relocated, or significantly delayed without prior written notice, the full remaining balance shall remain due and payable.
  • The Client shall bear transportation, opportunity, and preparation costs incurred by InkBar.
  • InkBar shall wait for a maximum of one (1) hour from the agreed setup time before treating the engagement as a no-show.
  • A no-show is not eligible for any refund of the downpayment.

14. Photo, Video, and Social Media Consent

  • InkBar may take photographs and/or videos of its setup, materials, and finished items during the event for use in its portfolio, marketing materials, and social media platforms.
  • By default, guests and the event venue may appear incidentally in such content.
  • If the Client does not consent, the Client must notify InkBar in writing prior to the event.
  • InkBar shall respect such requests and limit documentation to setup and materials only.
  • InkBar shall not be obligated to seek separate consent from individual guests, as this responsibility rests with the Client as the event organizer.

15. Entire Agreement and Severability

  • This Agreement, together with Annex A (Booking and Package Details), constitutes the entire agreement between the parties and supersedes all prior communications, negotiations, or representations.
  • Any modification must be in writing and signed by both parties.
  • If any provision of this Agreement is found to be invalid or unenforceable under Philippine law, the remaining provisions shall continue in full force and effect.

Acknowledgment and Acceptance

By signing or proceeding with the booking, both parties confirm that they have read, understood, and voluntarily agreed to all terms and conditions set forth in this Agreement and its Annex. The Client acknowledges that this Agreement is valid and binding only upon submission of proof of the 50% downpayment.
